2. Mr. Brinig is a valuation consultant and Principal in Brinig & Company, Inc., San Diego, California. He is both a Certified Public Accountant and an attorney, but his practice is limited to the valuation of going business concerns for purchase, sale and litigation. He has lectured extensively and published on the subject of business valuation for the California CPA Foundation and the California Continuing Education of the Bar.

3. Mr. Prairie received his J.D. from the University of California at Davis and is a partner in Stephenson & Prairie, San Diego, California. He has published extensively and his areas of expertise include real property and commercial litigation.
